1. Acceptance of Terms
By accessing or using Shopletix ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
Shopletix is a commerce operations platform that provides:
- Order Management: Multi-channel order capture, tracking, and fulfillment tools.
- Inventory Management: Real-time stock sync, variant management, and low-stock alerts.
- Financial Tools: Transaction tracking, P&L reports, COGS analysis, and bank integrations.
- Customer CRM: Customer profiles, purchase history, segmentation, and lifetime value tracking.
- Team Collaboration: Role-based access, activity logs, and partner management.
- Integrations: Connections with third-party services including Shopify, WooCommerce, Stripe, PayPal, and others.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
3. Account Registration
To use the Service, you must create an account. You agree to:
- Provide accurate, current, and complete registration information.
- Maintain the security of your password and account credentials.
- Promptly update your information if it changes.
- Accept responsibility for all activities that occur under your account.
You must be at least 18 years old to create an account. Shopletix reserves the right to refuse service, terminate accounts, or remove content at our discretion.
4. Subscription & Billing
Plans: Shopletix offers multiple subscription tiers (Starter, Growth, Scale, Enterprise) with varying features and limits.
Free Trial: New accounts receive a 14-day free trial with full access. No credit card is required during the trial period.
Billing: Paid subscriptions are billed monthly or annually in advance. All fees are non-refundable except as required by law or as stated in our refund policy.
Price Changes: We may change subscription prices with 30 days' advance notice. Price changes will take effect at the start of your next billing cycle.
Cancellation: You may cancel your subscription at any time. Your access will continue until the end of the current billing period. We do not offer prorated refunds for partial billing periods.
Taxes: You are responsible for all applicable taxes. Prices displayed may not include taxes unless stated otherwise.
5. Your Data & Content
Ownership: You retain full ownership of all data, content, and information you upload to or create within Shopletix ("Your Data").
License: You grant Shopletix a limited, non-exclusive license to use, process, and display Your Data solely for the purpose of providing and improving the Service.
Data Export: You may export Your Data at any time in standard formats (CSV, JSON). We will never hold your data hostage.
Data Protection: We process Your Data in accordance with our Privacy Policy and applicable data protection laws (GDPR, CCPA).
Backups: While we maintain regular backups, you are responsible for maintaining your own copies of critical business data.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws.
- Upload malicious code, viruses, or other harmful content.
- Attempt to gain unauthorized access to any part of the Service.
- Interfere with or disrupt the Service or servers or networks connected to the Service.
- Use automated means (bots, scrapers) to access the Service without our written consent.
- Resell, sublicense, or provide the Service to third parties without authorization.
- Transmit unsolicited communications (spam) through the Service.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
We may suspend or terminate your access if we determine you have violated these terms.
7. Intellectual Property
Our Property: The Service, including its design, features, code, documentation, and branding, is owned by Shopletix and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand assets without written permission.
Feedback: If you provide us with feedback, suggestions, or ideas, you grant us a non-exclusive, royalty-free, perpetual license to use and incorporate that feedback into the Service.
8. Third-Party Integrations
The Service allows you to connect with third-party services. When you enable integrations:
- You are subject to the third party's terms of service and privacy policy.
- We are not responsible for the availability, accuracy, or reliability of third-party services.
- Data shared with third parties is governed by their respective policies.
- You may disconnect integrations at any time.
9. Service Availability & SLA
We strive to maintain high availability of the Service:
- Uptime Target: 99.9% monthly uptime for paid plans.
- Scheduled Maintenance: We will provide at least 24 hours' notice for planned maintenance.
- Status Page: Real-time service status is available at status.shopletix.com.
- SLA Credits: Enterprise customers may be eligible for service credits as defined in their individual agreements.
We are not liable for interruptions caused by circumstances beyond our reasonable control, including but not limited to natural disasters, infrastructure failures, or third-party service outages.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Shopletix shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
- Our total liability shall not exceed the amount paid by you for the Service in the 12 months preceding the claim.
- We do not guarantee that the Service will be error-free, uninterrupted, or meet all your specific requirements.
This limitation applies regardless of the legal theory (contract, tort, strict liability, or otherwise).
11. Indemnification
You agree to indemnify and hold harmless Shopletix, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any third-party rights.
- Your Data or content.
12. Termination
By You: You may terminate your account at any time through the account settings or by contacting support.
By Us: We may terminate or suspend your account if you violate these Terms, fail to pay fees, or if required by law. We will provide reasonable notice where possible.
Effect of Termination: Upon termination, your right to access the Service ceases. We will retain your data for 90 days, during which you may request an export. After 90 days, your data will be deleted.
13. Dispute Resolution
Any disputes arising from these Terms or the Service shall be governed by the laws of the State of California, United States, without regard to conflict of law provisions.
You agree to first attempt to resolve any dispute informally by contacting us at legal@shopletix.com. If a dispute cannot be resolved informally within 30 days, it shall be resolved through binding arbitration under the rules of the American Arbitration Association (AAA).
Class action waivers: You agree that any dispute resolution will be conducted on an individual basis and not as a class, consolidated, or representative action.
14. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
